In case of any changes, the transferor will notify in time, but the above changes shall not affect the bidding process, transaction and delivery and acceptance of the Vessel, and the Buyers shall not raise any objection.
1.2 The Vesselshall be delivered with the class conditions/recommendations. The Vessel shall be delivered as on an "as is where is" basis, as she is and where she is at the time that the Buyers take delivery. Buyers shall not disagree with the bidding result as specified in the Auction Confirmation or the condition on delivery or to reject delivery based on the class condition/recommendation of the Vessel at the time of delivery (if any). According to the Survey Status Report issued by the Classification Society on October 07th, 2022, the details of the currentclass condition/recommendation as follows.

1.3 All the information and data refer to the Vessel provided in this Announcement as well as the attachments are for reference only. If there is any discrepancy, the class certificates and trading certificates and actual ship status shall prevail.
2. Bidding Rules
2.1 This bidding will be held without a reserved price. If there is only one bidder participating in the bidding, the bidder shall be automatically confirmed as the Buyers upon the completion of the announcing period. If there are two or more bidders participating in the bidding, the transfer of the Vessel will be carried out by auction.No one has the preemptive right to the transfer of Vessel.
2.2 The starting price is USD 10 million, and the bidding deposit is USD 1.1 million (or RMB 7.5 million). Bid increment is a multiple of USD 0.02 million.
2.3 The bidding time will enter into Extension Cycle since 17:25, November 03rd, 2022 after the bidding officially starts. And then the ending time will be refreshed to 5 minutes once each new bidding price offered.
2.4 If the Buyers pay the deposit in US dollars when applying for the bidding, the deposit shall be automatically converted as part of purchase deposit after the bidding. If the Buyers pay the deposit in CNY, Buyers shall pay another USD 1.1 million separately to the bidding company’s designated US dollar account within 2 working days upon the completion of the bidding. The bidding company shall return the CNY deposit fully back to the Buyers within 1 working day after the receipt of the US deposit.
3. Registration Requirements
3.1 Registration is available from the date of this Announcement and ends on November 03rd, 2022 (Beijing Time) before the auction starts (subject to the receipt of bidding deposit, the completion of online registration on the platform and the receipt of the bidding number. It is recommended that bidders pay the deposit 1-2 days in advance in order to avoid any issues). No registration will be accepted after the deadline. After successful registration, the bidder shall be deemed to have fully known, accepted and complied with the contents of this announcement, bidding rules, special provisions and relevant agreements.
3.2 The time of this auction activity shall be subject to Beijing time.
3.3 Any corporation or organization in and outside the Peoples Republicof China with full capacity for civil conduct and legally existing may participate in this bidding.The bidder shall not subject to or affected by any sanction, embargoes, freezing provisions, prohibitions or other restriction relating to trading, doing business, investment, exporting, financing or making assets available (or other activities similar to or connected with any of the foregoing) imposed by law or regulation of the United Nations, the People's Republic of China, United States of America and European Union against any state, natural or legal person, body or entity andare capable of making the payments in US Dollars as required under this Agreement.

4. Date and Place for Inspection of the Vessel
Inspection is available at Bremen port, Germany on or after October 12th, 2022. Any bidders intend to inspect the Vessel please confirm with the bidding company for details in advance. The risk and expenses in relation to the inspection shall be borne by the potential bidders. Potential bidders who fail to participate in the on-site inspection yet complete the registration procedure within the prescribed inspection time shall be deemed to have recognized and accepted the status quo and defects of the Vessel.

All the information and data provided in the Bidding Announcement, Special Provision, Technical Report as well as any other channel related to the Ship are for reference only. The bidding object is subject to the status at the time of delivery. If there is any discrepancy between the actual situation and the information and data above shall not affect the bidding and bidding price. Once the bidding is concluded, the Sellers and us shall not assume take any liability for defects or quality problems of the bidding ship.
3. After Bidding
3.1 Following a successful bidding, the Buyers shall sign an Auction Confirmation with the Bidding Company on the same day (the “Bidding Day”) at the email address or facsimile number. The Buyers shall sign an original Auction Confirmation with the Bidding Company within two (2) Banking Days of the Bidding Day.
3.2 The bidding deposits of the unsuccessful bidders shall be returned within 2 working days after the bidding without interests. The bidding deposit of the Buyers shall be automatically converted as part of purchase fund after the bidding completed and MOA signedwithout interests.
3.3 It’s acknowledged the interests-free dollar account designated by the bidding company is the escrow account for the Buyers and Sellers to hold and release the funds of the Purchase Price. After signing the Protocol of Delivery and Acceptance (PODA) & Joint Release Letter, the bidding company shall release all the purchase funds which received from the Buyers, including but not limited to ROB charge and other delivery monies to the Sellers within 3 working days without interests. The bidding company shall not charge any additional fee for the escrow service of funds.
4. Transfer (Deletion) and Delivery of the Ship
4.1 The Buyers shall pay all the bidding service fee not later than 16:00 November 08th, 2022 (Beijing Time), and remit the balance of the Purchase Price, estimated ROB charge and other delivery monies (if any) to the escrow account nominated by the Sellers, at least TWO (2) working days prior to the Vessel’s expected delivery date. Any delay or failure to pay fees mentioned above shall be deemed as a breach of the Bidding Announcement and the MOA.
4.2 The original ship owner (as the Sellers) should complete all the deletion procedures relating to the ship within 10 working days after signing PODA.
Notice of Readiness shall not be tendered before: November 18th, 2022;
Cancelling Date: December 29th, 2022.
If, for any reason related to the COVID-19 (Coronavirus) outbreak, or other epidemic, pandemic or infectious diseases at the place of delivery, as declared by the World Health Organization or any local governmental or port authority, delivery of the Vessel becomes impractical or impossible by the Cancelling Date, the Sellers and the Buyers shall mutually discuss alternative delivery options, and the Sellers shall at their cost and expense make the Vessel available at such agreed alternative place where the delivery may be carried out safely and in accordance with applicable health standards. In such event, the Cancelling Date shall be extended by the number of days equaling the total epidemics/disease related delay including without limitation the days used for the Parties' discussion and for re-positioning the Vessel to the new delivery location.
4.3 Delivery Place: The Vessel shall be delivered and taken over safely afloat on an "as is where is" basis, as she is and where she is at the time that the Buyers take delivery at a safe and accessible berth oranchorage at/inBremen, Germany or an ice-free port in Europe in the Sellers’ option (please find full detail as MOA).
The Sellers shall not be responsible for any time and cost for Buyers to take delivery of the Ship which shall be for the Buyers’ account.
Once the bidders complete the online registration and participate in the auction, shall be deemed to have recognized and accepted the status quo and defects of the Ship, including but not limited to all known and unknown defects related to the ship certificates and the ship condition, etc. The bidders shall not object to anydefects, such as the quality, of the Ship for any reason. The Buyers shall be deemed to have confirmed to accept the ship’s condition if they did not inspect the ship.
4.4 The sales and purchases contract (MOA) shall be signed as attached. In principle,no modification of the MOA will be allowed, except filling with the necessary information (e.g. Buyers' information, purchase price, signing date, etc.), or others terms mutually agreed between the Sellers and the Buyers. In the event of any conflict or ambiguity between MOA and this public auction regulations (including the bidding Announcement, bidding rules, special provision, etc), the terms in such public notice shall prevail.
The Buyers shall sign the sales and purchases contract (MOA) with the Sellers within 10 working days after signing the auction confirmation. If the Buyers fail to sign the auction confirmation or the MOA as scheduled, it shall be deemed as breach of “Undertaking for Bidding”, and the Sellers have the right to confiscate all the bidding deposit. Zhejiang Ship Exchange Market Co., Ltd. shall have the right to re-organize the bidding activity for the object Vessel against the instructions of the transferor.
4.5 Documentation provided by the Sellers and the Buyers on Closing shall be refer to MOA.
4.6 Items on board which are on hire or owned by third parties are excluded from the sale without compensation.

5. Related expenses
5.1 Bidding service fee: After the bidding, the Buyers shall pay bidding service fee to the bidding company. The service fee rate shall be referred to UNDERTAKING for BIDDING as attached in the Bidding Announcement.
5.2 The bank charges related to the bidding deposit shall be borne by the bidders; and the bank charges related to the purchase price shall be borne by the Buyers.
5.3 The Sellers would provide with Commercial Invoice of the Purchase Price and the remaining bunkers & unused lubricating oils. All the taxes, expenses and costs incurred after the ship delivery shall be borne by the Buyers themselves.
5.4 On delivery, the Buyers and the Sellers shall take measurement of the remaining bunkers and unused lubricating. The Buyers shall take over remaining bunkers and unused lubricating and hydraulic oils and grease in storage tanks and unopened drums and pay:
(a) the actual net price (excluding barging expenses) as evidenced by invoices or vouchers of the Vessel's last bunkering or supply (as applicable) and/or other documentation provided by the Sellers; or
(b) in the absence of sufficient evidence for bunker price as required under (a) above, the applicable Platts Singapore bunker price on three (3) Banking Days prior to the delivery date, for the quantities taken over.
5.5 The delivery time of the Vessel shall be subject to the signing time of the PODA. The ship with everything belonging to her shall be at the Sellers' risk and expense until she is delivered to the Buyers, while the Ship’s risk and expenses shall be for the Buyers’ account after the delivery of the vessel under this Agreement.

1.1 For convenient management, the transferor may change the “Vessel’sName” and “Flag State” after this Announcement issued but before the delivery date. In case of any changes, the transferor will notify in time, but the above changes shall not affect the bidding process, transaction and delivery and acceptance of the Vessel, and the Buyers shall not raise any objection.
1.2 The Vessel shall be delivered with the class conditions/recommendations. According to the Survey Status Report issued by the Classification Society on October 07th, 2022, the details of the currentclass condition/recommendation are as follows. The Vessel shall be delivered as on an "as is where is" basis, as she is and where she is at the time that the Buyers take delivery. Buyers shall not disagree with the bidding result as specified in the Auction Confirmation or the condition on delivery or to reject delivery based on the condition/recommendation on the Vessel at the time of delivery (if any).

All the information and data provided in the Bidding Announcement, Special Provision, Technical Report as well as any other channel related to the Ship are for reference only. The bidding object is subject to the status at the time of delivery. If there is any discrepancy between the actual situation and the information and data above shall not affect the bidding and bidding price. Once the bidding is concluded, the Sellers and us shall not assume take any liability for defects or quality problems of the bidding ship.
3. After Bidding
3.1 Following a successful bidding, the Buyers shall sign an Auction Confirmation with the Bidding Company on the same day (the “Bidding Day”) at the email address or facsimile number. The Buyers shall sign an original Auction Confirmation with the Bidding Company within two (2) Banking Days of the Bidding Day.
3.2 The bidding deposits of the unsuccessful bidders shall be returned within 2 working days after the bidding without interests. The bidding deposit of the Buyers shall be automatically converted as part of purchase fund after the bidding completed and MOA signedwithout interests.
3.3 It’s acknowledged the interests-free dollar account designated by the bidding company is the escrow account for the Buyers and Sellers to hold and release the funds of the Purchase Price. After signing the Protocol of Delivery and Acceptance (PODA) & Joint Release Letter, the bidding company shall release all the purchase funds which received from the Buyers, including but not limited to ROB charge and other delivery monies to the Sellers within 3 working days without interests. The bidding company shall not charge any additional fee for the escrow service of funds.
4. Transfer (Deletion) and Delivery of the Ship
4.1 The Buyers shall pay all the bidding service fee not later than 16:00 November 08th, 2022 (Beijing Time), and remit the balance of the Purchase Price, estimated ROB charge and other delivery monies (if any) to the escrow account nominated by the Sellers, at least TWO (2) working days prior to the Vessel’s expected delivery date. Any delay or failure to pay fees mentioned above shall be deemed as a breach of the Bidding Announcement and the MOA.
4.2 The original ship owner (as the Sellers) should complete all the deletion procedures relating to the ship within 10 working days after signing PODA.
Notice of Readiness shall not be tendered before: November 18th, 2022;
Cancelling Date: December 29th, 2022.
If, for any reason related to the COVID-19 (Coronavirus) outbreak, or other epidemic, pandemic or infectious diseases at the place of delivery, as declared by the World Health Organization or any local governmental or port authority, delivery of the Vessel becomes impractical or impossible by the Cancelling Date, the Sellers and the Buyers shall mutually discuss alternative delivery options, and the Sellers shall at their cost and expense make the Vessel available at such agreed alternative place where the delivery may be carried out safely and in accordance with applicable health standards. In such event, the Cancelling Date shall be extended by the number of days equaling the total epidemics/disease related delay including without limitation the days used for the Parties' discussion and for re-positioning the Vessel to the new delivery location.
4.3 Delivery Place: The Vessel shall be delivered and taken over safely afloat on an "as is where is" basis, as she is and where she is at the time that the Buyers take delivery at a safe and accessible berth oranchorage at/inBremen, Germany or an ice-free port in Europe in the Sellers’ option (please find full detail as MOA).
The Sellers shall not be responsible for any time and cost for Buyers to take delivery of the Ship which shall be for the Buyers’ account.
Once the bidders complete the online registration and participate in the auction, shall be deemed to have recognized and accepted the status quo and defects of the Ship, including but not limited to all known and unknown defects related to the ship certificates and the ship condition, etc. The bidders shall not object to anydefects, such as the quality, of the Ship for any reason. The Buyers shall be deemed to have confirmed to accept the ship’s condition if they did not inspect the ship.
4.4 The sales and purchases contract (MOA) shall be signed as attached. In principle,no modification of the MOA will be allowed, except filling with the necessary information (e.g. Buyers' information, purchase price, signing date, etc.), or others terms mutually agreed between the Sellers and the Buyers. In the event of any conflict or ambiguity between MOA and this public auction regulations (including the bidding Announcement, bidding rules, special provision, etc), the terms in such public notice shall prevail.
The Buyers shall sign the sales and purchases contract (MOA) with the Sellers within 10 working days after signing the auction confirmation. If the Buyers fail to sign the auction confirmation or the MOA as scheduled, it shall be deemed as breach of “Undertaking for Bidding”, and the Sellers have the right to confiscate all the bidding deposit. Zhejiang Ship Exchange Market Co., Ltd. shall have the right to re-organize the bidding activity for the object Vessel against the instructions of the transferor.
4.5 Documentation provided by the Sellers and the Buyers on Closing shall be refer to MOA.
4.6 Items on board which are on hire or owned by third parties are excluded from the sale without compensation.

5. Related expenses
5.1 Bidding service fee: After the bidding, the Buyers shall pay bidding service fee to the bidding company. The service fee rate shall be referred to UNDERTAKING for BIDDING as attached in the Bidding Announcement.
5.2 The bank charges related to the bidding deposit shall be borne by the bidders; and the bank charges related to the purchase price shall be borne by the Buyers.
5.3 The Sellers would provide with Commercial Invoice of the Purchase Price and the remaining bunkers & unused lubricating oils. All the taxes, expenses and costs incurred after the ship delivery shall be borne by the Buyers themselves.
5.4 On delivery, the Buyers and the Sellers shall take measurement of the remaining bunkers and unused lubricating. The Buyers shall take over remaining bunkers and unused lubricating and hydraulic oils and grease in storage tanks and unopened drums and pay:
(a) the actual net price (excluding barging expenses) as evidenced by invoices or vouchers of the Vessel's last bunkering or supply (as applicable) and/or other documentation provided by the Sellers; or
(b) in the absence of sufficient evidence for bunker price as required under (a) above, the applicable Platts Singapore bunker price on three (3) Banking Days prior to the delivery date, for the quantities taken over.
5.5 The delivery time of the Vessel shall be subject to the signing time of the PODA. The ship with everything belonging to her shall be at the Sellers' risk and expense until she is delivered to the Buyers, while the Ship’s risk and expenses shall be for the Buyers’ account after the delivery of the vessel under this Agreement.
