On May 21, CDB Leasing announced that eight wholly-owned SPV companies (as the new buyer) entered into a shipbuilding contract assignment agreement with the original buyer, Hong Kong Hengyi Logistics Co., Ltd., the seller Guangzhou Shipyard International and the seller China Shipbuilding Trading on May 21, 2021.
The original buyer has agreed to assign its rights and obligations under the shipbuilding contract to the new buyer, the two sellers have agreed to build and sell eight chemical tankers to the new buyer, and the new buyer has agreed to purchase the vessels at a price of US $279.2 million.
The transaction consideration shall be paid by the new buyer in 4 installments according to the vessel's construction progress. One ship is expected to be delivered in February 2024, one ship in April 2024, one ship in June 2024, one ship in August 2024, one ship in November 2024, and one ship in January 2025. One ship will be delivered in March 2025, and one ship will be delivered in May 2025. The relevant registration transfer will be completed on the day the ship is delivered.
The eight wholly-owned SPV companies are CL ANJI LIMITED、CL JIANDE LIMITED、CL JIAXING LIMITED、CL JINHUA LIMITED、CL LISHUI LIMITED、CL SHAOXING LIMITED、CL WENZHOU LIMITED and CL ZHOUSHAN LIMITED, all of which were incorporated in Hong Kong and are part of the company wholly-owned SPV companies.
CDB Leasing explains that the reason for the signing of the shipbuilding contract transfer agreement and its benefits are that it is conducive to giving full play to the advantages of all parties, is conducive to increasing the company's market share in the shipping market, and is in line with the company's business development strategy.
