Dalian Port Co., Ltd. changed its name to Liaoning Port Co., Ltd.

On January 7, 2021, Dalian Port Co., Ltd. issued a notice stating that the company name was changed to "Liaoning Port Co., Ltd." and the stock code of the company remained unchanged as "601880".
 
Previously, in order to further promote the integration and integration of Liaoning ports, optimize the port capital structure and improve the port function layout, Dalian Port Co., Ltd. announced in July 2020 that the company plans to issue A-shares at a price of 16.765 billion yuan to absorb and merge Yingkou Port in exchange for shares.
 
At present, the integration matters have been reviewed and approved by the board of directors, and received the approval and reply from CSRC on January 6, 2021.
 
Dalian Port Co., Ltd. is expected to complete the integration work in early 2021.
 
According to the previous announcement, after the completion of the merger, the equity proportion of China Merchants Group in Dalian Port Co., Ltd. was increased from 75.00% to 76.42%, and it remained the actual controller, without considering the influence of raising supporting funds, acquisition request and cash option exercise. After the completion of the name change, the share capital structure of Liaoning Port Co., Ltd is shown in the table below:

If the matching fund raising is completed, assuming that the issuing price of the matching fund raised and the share exchange price are both 1.71 yuan/share, the total amount of the matching fund raised reaches the upper limit and the equity proportion held by China Merchants Group in Dalian Port Co., Ltd will change from 75.00% to 72.50%, and it will still be the actual controller. After the completion of the transaction, Liaoning Port Co., Ltd. will shift its business focus to improving the service level, giving full play to the port aggregation function, strengthening the connection with regional industries and other aspects to further enhance its external competitiveness.
